1. Services Overview

We provide custom software development, consulting, and related technical services. Our services may include:

• Custom software application development
• Mobile and web application development
• Software consulting and architecture design
• Maintenance and support services

• Other technology services as agreed upon

2. Acceptance of Terms

By signing a service agreement, purchase order, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3. Service Agreements

3.1 Project Scope

Specific project details, deliverables, timelines, and costs will be outlined in individual service agreements or statements of work (SOW). These documents, together with these Terms, constitute the entire agreement between parties.

3.2 Changes to Scope

Any changes to the project scope must be agreed upon in writing by both parties and may result in adjustments to timelines and costs.

4. Intellectual Property Rights

4.1 Client Materials

You retain all rights to materials, information, and intellectual property you provide to us for the purpose of the services.

4.2 Deliverables

Upon full payment, all intellectual property rights in the deliverables specifically created for you will transfer to you, except for any pre-existing materials or third-party components.

4.3 Company Property

We retain all rights to our pre-existing materials, methodologies, frameworks, tools, and know-how. We may grant you a license to use these materials as part of the deliverables.

5. Payment Terms

5.1 Fees

You agree to pay all fees specified in the service agreement according to the payment schedule outlined therein.

5.2 Payment Schedule

Unless otherwise specified, payments are due within 30 days of invoice date. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5.3 Expenses

Unless otherwise agreed, you will reimburse us for reasonable travel and out-of-pocket expenses incurred in connection with the services.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of service. This obligation survives the termination of any service agreement.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

9. Indemnification

Each party agrees to indemnify and hold harmless the other party from any claims, damages, or expenses arising from their breach of these Terms or negligent or wrongful acts.

10. Term and Termination

10.1 Term

These Terms remain in effect for the duration of our service relationship and survive as specified for individual provisions.

10.2 Termination

Either party may terminate a service agreement with 30 days written notice. Termination does not relieve payment obligations for work completed.

11. General Provisions

11.1 Governing Law
